Terms of Service
Last updated: 1 January 2025
1. About these Terms
These Terms of Service (“Terms”) govern your access to and use of the website https://virtualsolutions.online and any professional business and consulting services supplied by Virtual Solutions Pty Ltd (ABN 81 703 568 192) (“we”, “us” or “our”) to you (“you” or “your”). By requesting a quote, engaging our services or using this website, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use this website or engage our services.
2. Who we are
Virtual Solutions Pty Ltd is a proprietary limited company registered in Australia, operating from Melbourne VIC, and provides professional business and consulting services to clients across Australia. Our Australian Business Number (ABN) is 81 703 568 192.
3. Our services
The service descriptions published on this website are general in nature and are provided for information only. The specific scope, deliverables, timelines and fees applicable to your engagement will be set out in a written quote, proposal or engagement letter provided to you (“Engagement Document”). Where an Engagement Document is inconsistent with these Terms, the Engagement Document prevails to the extent of the inconsistency for that engagement only.
4. Quotes and engagement
Quotes provided by us are valid for thirty (30) days from the date of issue unless the quote states otherwise. A quote is an invitation to engage our services and does not constitute a binding offer. A binding agreement arises only when we accept your written acceptance of a quote or otherwise confirm the engagement in writing. We reserve the right to decline any request for services at our sole discretion.
5. Fees, invoicing and payment
- All fees are quoted and payable in Australian dollars (AUD).
- Fees are inclusive of goods and services tax (GST) unless your quote or Engagement Document states otherwise.
- Invoices are payable within fourteen (14) days of the date of issue unless your Engagement Document specifies different payment terms.
- Where an engagement involves ongoing services, we may issue invoices on a recurring basis in advance or in arrears, as set out in the Engagement Document.
- If an invoice remains unpaid after its due date, we may charge interest on the outstanding amount and/or suspend or cease providing services until the account is brought up to date. We will give you written notice before suspending services.
- You are responsible for any bank fees, transfer fees or currency conversion costs associated with making payment.
6. Changes and additional work
If, during an engagement, you request work that falls outside the agreed scope, or circumstances arise that materially affect the work, we will provide a revised quote or written variation before proceeding. No additional fees will be charged without your prior written approval of the revised scope and price.
7. Your responsibilities
To enable us to provide services effectively, you agree to:
- provide accurate, complete and timely information, records and access reasonably required for us to perform the services;
- respond to requests for feedback, approvals and decisions within a reasonable time;
- ensure that you hold all necessary rights, licences and permissions for any materials, data or systems you provide to us; and
- comply with all applicable laws in connection with your use of our services.
We are not liable for delays or deficiencies in the services to the extent caused by your failure to meet these responsibilities.
8. Intellectual property
All content on this website, including text, graphics, logos and layout, is owned by or licensed to Virtual Solutions Pty Ltd and is protected by Australian and international copyright laws. You may view, download and print pages from this website for your own personal or internal business use, but you must not reproduce, republish or distribute website content without our prior written consent.
We retain ownership of our pre-existing intellectual property, including our methodologies, frameworks, tools and templates. Subject to receipt of full payment, you are granted a perpetual, non-exclusive, non-transferable licence to use the deliverables prepared for you under an engagement for your ordinary business purposes. Unless otherwise agreed in writing, we may retain copies of deliverables for our records and quality assurance.
9. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with an engagement, and to use that information only for the purpose of performing the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law, and it survives the completion or termination of an engagement.
10. Consumer guarantees under Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot lawfully be excluded, restricted or modified.
Our services come with guarantees under the Australian Consumer Law that they will be rendered with due care and skill, and will be reasonably fit for any purpose you have made known to us. If we fail to meet a consumer guarantee in relation to services we supply to you, you may be entitled to remedies including the re-supply of the services or, in some circumstances, a refund, as provided by the Australian Consumer Law.
11. Limitation of liability
To the maximum extent permitted by law, and subject to clause 10 (Consumer guarantees under Australian Consumer Law):
- we exclude all liability to you for any indirect, incidental, special or consequential loss or damage, including loss of profit, revenue, goodwill or data, arising from or in connection with our services or this website; and
- our total aggregate liability for any claim arising out of or in connection with an engagement is limited to the fees actually paid by you to us for the service giving rise to the claim.
This clause does not apply to liability that cannot lawfully be limited or excluded, including liability for consumer guarantees that cannot be excluded under the Australian Consumer Law.
12. Third-party links and content
This website may contain links to third-party websites or resources. These links are provided for convenience only and do not imply endorsement. We are not responsible for the content, accuracy or practices of any third-party website, and your use of third-party websites is at your own risk and subject to their terms.
13. Privacy
We handle personal information in accordance with our Privacy Policy. Our Privacy Policy forms part of these Terms and explains how we collect, use, store and disclose personal information.
14. Suspension and termination
Either party may terminate an engagement in accordance with the notice period set out in the applicable Engagement Document, or immediately if the other party commits a material breach that is not remedied within fourteen (14) days of written notice. Upon termination, you remain liable to pay for all services performed and expenses incurred up to the date of termination. Clauses that by their nature should survive termination (including intellectual property, confidentiality, liability and governing law) will continue to apply.
15. Changes to these Terms
We may update these Terms from time to time to reflect changes in our services, operations or legal obligations. The current version will always be published on this page with a revised “Last updated” date. Your continued use of this website or engagement of our services after changes take effect constitutes acceptance of the updated Terms. Where changes are material and affect an existing engagement, we will notify you before they apply to that engagement.
16. General
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force.
- No waiver: Our failure to enforce any provision is not a waiver of that provision or of any other provision.
- Entire agreement: These Terms, together with any applicable Engagement Document and our Privacy Policy, constitute the entire agreement between you and us regarding their subject matter.
- Assignment: You must not assign or transfer your rights or obligations under these Terms without our prior written consent.
17. Governing law
These Terms are governed by the laws of the State of Victoria and the Commonwealth of Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria, Australia, in respect of any dispute arising out of or in connection with these Terms.
18. Contact us
If you have any questions about these Terms, or wish to raise a complaint or exercise a right under the Australian Consumer Law, please contact us by email at ceo@virtualsolutions.online. We aim to acknowledge and respond to all enquiries promptly and in good faith.
